General Terms and Conditions of WOODWELL GmbH

I. Scope

a) The following terms and conditions apply to all present and future business relationships between WOODWELL GmbH (hereinafter referred to as "WOODWELL") and its business partners exclusively. Conflicting terms and conditions of our business partners or third parties are only valid if we expressly agree to their validity.

b) If our contractual partner does not agree, he must immediately inform us in writing. In this case
WOODWELL reserves the right to withdraw its offer to the client without claims of any kind being made against WOODWELL. The acceptance of deliveries / services does not constitute acceptance of conditions of the contractor. Our terms and conditions also apply if the contract with the contracting party is carried out without reservation in the knowledge of conflicting, supplementary or divergent terms of our terms and conditions. We hereby expressly object to the formular reference to our own terms and conditions.

c) Business partners within the meaning of these general terms and conditions are both client and contractor. Both contracting authorities and contractors are exclusively contractors, i. natural or legal persons or legal partnerships acting in the course of a commercial or independent professional activity. For the purposes of these General Terms and Conditions, the term "contracting party" means contractual partners who are supplied by WOODWELL and to whom other services are provided to WOODWELL. Contractors within the meaning of these general terms and conditions are contractual partners who receive orders from WOODWELL and are supervised to handle them.


II. Conditions of purchase

1 offer
a) The contractor is obliged to accept his order within a period of two weeks. After the deadline, WOODWELL is no longer bound to its order. Orders are only valid if made in writing or confirmed in writing by WOODWELL.

b) Offers must be submitted to WOODWELL without obligation and free of charge. The contractor must adhere to the request or the tender in terms of quantity, quality and design and, in the event of a deviation, expressly refer to this. Additional costs are only included in the price quotation, if they are mentioned separately under specification of the amount. The contractor is bound to his offer for three months. The order requires, to be binding, the written form.

2. Offer and execution documents
a) The documents provided to the contractor may not be made accessible to third parties without the consent of WOODWELL and may not be used for any purpose other than the agreed purpose. WOODWELL reserves its proprietary rights and copyrights to the illustrations, drawings, calculations and other documents provided to the contractor. They are to be used exclusively for production on the basis of our order and to be returned to us unsolicited after completion of the order.

b) WOODWELL may keep the documents provided by the contractor. WOODWELL is entitled to reproduce and use documents for training, maintenance and other purposes.

3. Prices, terms of payment
a) The agreed prices are understood to be free of the delivery point specified by us, including freight, packaging and ancillary costs. With non-free delivery, we only accept the cheapest freight costs, unless a special type of shipment is required. Delivery notes and invoices are issued in duplicate with our order number. The Contractor is responsible for any consequences arising from failure to comply with this obligation.

b) The claim becomes due only after the goods receipt has been completed and a properly prepared invoice has been received by WOODWELL. In the absence of deviating agreement or more favorable regulation in the terms of delivery or invoices of the contractor, the term of payment is 2 weeks with deduction of 2% discount or 30 days net. For the timely payment by WOODWELL, the transfer of the transfer order to the bank / credit institution or the date of the check is decisive. The application of § 286 Abs. 3 BGB is waived.

c) Right of Withdrawal and Withholding are entitled to WOODWELL to the full extent of the law. The contractor may over his claim to us by assignment, pledge or in any other way only
